Terms of Use
Binding agreement governing corporate customers' access to and use of Catech Labs' AI infrastructure platform and services.
These Terms of Use ("Terms") constitute a legally binding agreement between you (or the company you represent, the "Customer") and Catech Labs Tecnologia Ltda. ("Catech Labs", "we"), headquartered in São Paulo, São Paulo, Brazil, registered under CNPJ/MF No. 66.680.508/0001-96.
By accessing or using our website or platform, you confirm that you have authority to accept these Terms on behalf of the Customer and that both agree to comply with them in full.
Operational Highlights (TL;DR)
If you are short on time, here is what matters for an executive review:
- Your data is yours: We never claim ownership of Customer Content.
- No training: We do not use your data to train generic models, whether ours or third parties'.
- Total isolation: Each customer operates in a logically isolated environment (dedicated tenant).
- Enterprise platform: Intended exclusively for legal entities and corporate professionals.
- CAMARB arbitration: Commercial disputes are resolved by specialized arbitrators in São Paulo.
1. Document Hierarchy
These Terms are part of a structured contractual ecosystem. In the event of a conflict between documents, the following order of precedence applies:

For customers without an individually negotiated MSA, these Terms constitute the entire agreement between the parties.
2. Definitions

| Services | All AI infrastructure, automation, and functionality accessible through the Platform as contracted. |
| Customer | The legal entity that has entered into an agreement with Catech Labs or accesses the Services. |
| Authorized User | An individual formally authorized by the Customer to operate the Platform on its behalf. |
| Customer Content | Documents, data, prompts, and materials submitted by the Customer or a User to the Platform for processing. |
| AI Outputs | Results, analyses, suggestions, and content generated by the Platform in response to Customer inputs. |
| Usage Data | Technical metadata and performance logs subjected to irreversible anonymization (under Article 5, XI, of the LGPD) and aggregation, generated through use of the Platform. |
| DPA | Data Processing Addendum — a contractual data-processing addendum available upon request. |
3. Acceptance of the Terms
Access to the Platform constitutes full acceptance of these Terms. If you do not agree with any provision, do not use the Services. For customers with a specific agreement (MSA or Order Form), the agreement prevails in the event of a conflict, according to Section 1.
4. Description of the Services
Catech Labs provides controlled and auditable AI infrastructure for professional use in regulated markets, including:
- automation with AI agents orchestrated by deterministic workflows;
- intelligent document analysis with decision traceability;
- corporate integrations with legacy systems (ERP, CRM, core banking);
- a semantic layer over the Customer's proprietary databases.
The Services are detailed in the applicable technical documentation and Order Forms. We reserve the right to update, expand, or discontinue features with reasonable prior notice of 30 days for material changes.
5. Eligibility and Access
To use the Platform, you must:
- represent a legal entity or be a professional formally authorized by one;
- have full legal capacity to enter into binding agreements;
- not be subject to economic sanctions, restricted-party lists (OFAC, UN, EU), or applicable legal restrictions;
- comply with applicable sector-specific legislation (BCB, CVM, CFM, OAB, or equivalent bodies).
The Platform is not intended for end consumers, individuals acting personally, or entities undergoing insolvency proceedings.
6. Accounts and Credentials
- Creation: Accounts are created upon formal request or through an agreed onboarding process.
- Credentials: You are responsible for the confidentiality of credentials and API tokens. Do not share passwords.
- Responsibility: You are fully responsible for all activity performed using your credentials.
- Incidents: Promptly notify [email protected] of any suspected unauthorized use.
- Suspension: Catech Labs may suspend accounts for violations of these Terms, using commercially reasonable efforts to provide prior notice, except when operational security requires immediate action.
7. Acceptable Use
You agree to use the Services exclusively for lawful, ethical purposes compatible with the professional nature of the Platform and in compliance with all applicable laws.
8. Prohibited Activities
You may not:
- Illegal Use: Use the Services for unlawful or fraudulent purposes or to violate third-party rights.
- Reverse Engineering: Decompile, decode, or attempt to extract source code or models from the Platform.
- System Overload: Conduct denial-of-service attacks or actions that compromise availability for other users.
- Security Violation: Attempt to access systems, data, or accounts without authorization.
- Unauthorized Training: Use AI Outputs to train competing models without prior written authorization.
- Harmful Content: Insert malware, exploits, viruses, or illegal material into the Platform.
- False Representation: Impersonate another person, company, or entity in any way.
- Unauthorized Resale: Resell or sublicense the Services to third parties without a prior formal agreement.
- Personal Data Violation: Insert sensitive personal data without the legal safeguards required by the LGPD.
9. Customer Content
9.1 Ownership
You retain all intellectual property rights in Customer Content. Catech Labs does not claim ownership of it.
9.2 Operational License
By submitting Customer Content to the Platform, you grant Catech Labs a limited, non-exclusive, non-transferable license strictly to perform the contracted Services. This license ends automatically when the contractual relationship ends.
9.3 No Training
As stated in our Privacy Policy, Customer Content is not used to train generic language models — whether Catech Labs' or third-party providers'. This is a non-negotiable technical and contractual commitment.
9.4 Responsibility for Content
You are responsible for ensuring that Customer Content: (i) does not violate third-party rights; (ii) is processed under appropriate legal bases under the LGPD; and (iii) does not contain illegal material.
10. Catech Labs Intellectual Property
All source code, algorithms, models, interfaces, documentation, and other Platform assets are the exclusive property of Catech Labs or its licensors, protected by Brazilian and international intellectual-property laws. Nothing in these Terms transfers any intellectual-property right to the Customer.
11. AI Outputs and Human Oversight
11.1 Nature of Outputs
AI Outputs are produced by computer systems and may contain errors, omissions, or inaccuracies. They do not constitute legal, financial, medical, or other regulated professional advice.
11.2 Human Review Requirement
Any use of AI Outputs in regulated professional contexts must be reviewed by a qualified professional before any consequential action or decision. The Customer is solely responsible for decisions made based on the Outputs.
11.3 Usage Data
Catech Labs may use irreversibly anonymized and aggregated Usage Data to improve the Platform's technical performance, without identifying the Customer or any specific content.

13. Availability and Support
13.1 Reasonable Efforts
Catech Labs will use commercially reasonable efforts to maintain the Platform's availability, security, and operational continuity in line with enterprise market standards. Specific service levels (SLA) are defined in the applicable agreement or Order Form.
13.2 Scheduled Maintenance
Scheduled maintenance windows will be communicated at least 48 hours in advance by email or through a notice on the Platform.

14. Confidentiality
Each party agrees to maintain the confidentiality of the other party's non-public information ("Confidential Information"), including technical, commercial, and customer data. This obligation:
- continues for 3 years after the contractual relationship ends;
- applies indefinitely to trade secrets and personal data;
- requires the parties to implement technical and organizational safeguards equivalent to those used for their own confidential information.
15. Term and Termination
15.1 Term
These Terms take effect upon first access to the Services and remain valid while the Customer uses the Platform or until terminated under the specific agreement.
15.2 Termination by the Customer
The Customer may end its use according to the terms of the specific agreement (MSA or Order Form).
15.3 Termination by Catech Labs
We may suspend or terminate access, using reasonable efforts to provide prior notice, in the event of:
- a material violation of these Terms not cured within 15 days after notice;
- financial delinquency not cured within the contractual period;
- conduct that puts the security of the Platform or other customers at risk;
- an applicable judicial or regulatory order.
15.4 Effect of Termination
After termination: (i) access to the Platform is revoked; (ii) Customer Content may be exported for the period defined in the agreement (at least 30 days); and (iii) confidentiality and limitation-of-liability obligations survive termination.
16. Warranties and Disclaimers
16.1 Catech Labs Warranties
Catech Labs will use commercially reasonable efforts for the Platform to function materially in accordance with the applicable technical documentation and enterprise market standards.
16.2 Disclaimer of Warranties
Except as expressly provided in these Terms or the specific agreement, the Platform is provided "as is" and "as available." Catech Labs does not guarantee that the Platform will be uninterrupted or error-free. Any implied warranties are excluded to the extent permitted by law.
17. Limitation of Liability
17.1 Exclusion of Indirect Damages
Under no circumstances will Catech Labs be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, data loss, or reputational damage, even if advised of the possibility of such damages.
17.2 Aggregate Cap
Catech Labs' total liability for any cause related to these Terms will not exceed the amount paid by the Customer in the 12 months preceding the event giving rise to the claim, or BRL 10,000.00 (ten thousand Brazilian reais), whichever is greater.
17.3 Exceptions
The limitations above do not apply to: (i) breach of confidentiality obligations; (ii) proven willful misconduct or gross negligence by Catech Labs; or (iii) privacy and data-protection violations that cause proven harm to a data subject.
18. Indemnification
The Customer agrees to indemnify, defend, and hold harmless Catech Labs and its directors, employees, and service providers from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (i) misuse of the Services; (ii) violation of these Terms; (iii) infringement of third-party rights by Customer Content; or (iv) breach of legal obligations related to use of the Platform.
19. Force Majeure
Neither party will be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, third-party infrastructure failures, pandemics, government acts, or large-scale cyberattacks. The affected party must promptly notify the other and use reasonable efforts to mitigate the effects.
20. Anti-Corruption and Compliance
The Customer represents and warrants that it will: (i) fully comply with the Brazilian Anti-Corruption Law (Law No. 12,846/2013), the FCPA, the UK Bribery Act, and other applicable anti-corruption rules; (ii) not offer, promise, or grant improper advantages to public or private officials in connection with this commercial relationship; and (iii) implement appropriate internal compliance controls.
21. Dispute Resolution
The parties agree to resolve disputes in good faith through the following steps:
- Negotiation: Senior representatives designated by the parties negotiate for up to 30 calendar days.
- Mediation: If the dispute persists, the parties may submit it to mediation under Law No. 13,140/2015.
- Arbitration: Unresolved disputes will be submitted to arbitration by the Câmara de Arbitragem Empresarial Brasil (CAMARB), seated in São Paulo, Brazil, in Portuguese — a sole arbitrator for disputes up to BRL 1,000,000.00 and a three-arbitrator panel for higher amounts.
22. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. For matters not submitted to arbitration, the parties elect the courts of the District of São Paulo, Brazil, expressly waiving any other venue, however privileged.
23. General Provisions
- Entire Agreement: These Terms and the specific agreement constitute the entire agreement between the parties.
- Waiver: Failure to exercise any right does not constitute a waiver in future situations.
- Severability: If any provision is invalid, the remaining provisions remain in full force.
- Assignment: The Customer may not assign these Terms without Catech Labs' prior written consent. Catech Labs may assign them in a corporate reorganization, merger, or acquisition.
- Relationship: These Terms do not create an agency, partnership, employment, or joint-venture relationship.
- Language: If translated versions conflict, the Portuguese version prevails.
24. Changes to the Terms
We may periodically modify these Terms. Active customers will be notified at least 30 days in advance of material changes.
